MU East Statement Regarding the Position and Authority of Mr. Ronald Day

MU East issues this clarification in response to recent representations concerning the position and authority of Mr. Ronald Day.

MU East understands that Mr. Ronald Day serves as Chief Executive Officer of Miss Universe Americana LLC, a regional entity associated with MU West. This regional position does not, by itself, confer upon him any position, office or authority within JKN Universe LLC.

Under the applicable corporate governance arrangements, an appointment to an executive or senior-level position within JKN Universe LLC requires prior unanimous written approval from the Board of Directors of JKN Legacy Inc.

MU East is not aware of any such approval appointing Mr. Day to a position within JKN Universe LLC or authorizing him to represent, speak for or bind the company.

Accordingly, unless valid corporate documentation establishing such an appointment or authority is produced, MU East does not recognize Mr. Day as a director, executive officer or authorized representative of JKN Universe LLC.

This clarification does not question Mr. Day’s regional position within Miss Universe Americana LLC. Its purpose is solely to ensure that his regional role is not misrepresented as authority to act on behalf of JKN Universe LLC or the Miss Universe Organization as a whole.
