Corporate Authority and Transparency Concerning the 75th Miss Universe Pageant
MU East remains committed to the successful staging of the 75th Miss Universe Pageant in Puerto Rico and to protecting the interests of its delegates, National Directors, partners, sponsors and other stakeholders.
For clarity, JKN Legacy Inc. is owned equally by MU East and MU West. JKN Legacy Inc. is the sole member of JKN Universe LLC, the Delaware company doing business as the Miss Universe Organization.
MU East wishes to clarify that neither MU East nor its authorized representatives reviewed, approved or consented to the authorization documents recently presented to the Puerto Rico Tourism Company concerning the representation of JKN Universe LLC.
The relevant PRTC agreements are public records and may be reviewed through the official Puerto Rico Comptroller’s Contract Registry (https://consultacontratos.ocpr.gov.pr/). Interested parties may search for Contract Nos. 2026-000253, 2026-000253-A and 2027-000149 under the Puerto Rico Tourism Company.
The PRTC agreements identify JKN Universe LLC as a Delaware limited liability company and refer to a resolution of its sole member authorizing an officer to execute the relevant agreement. MU East has not been provided with a duly approved sole-member resolution supporting the authority claimed in the recently presented documents.
An officer’s title alone should not be treated as unlimited authority to bind the company. Any claimed authority should be independently verified against the applicable corporate resolutions, governing records and required approvals—particularly where government agreements, public funds or substantial financial commitments are involved.
MU East also notes that the relevant agreements identify the contracting party as the Delaware JKN Universe LLC. MU East is not aware of any properly approved corporate document establishing that a similarly named Texas entity forms part of the official Miss Universe corporate structure or has authority to represent or bind the Delaware company. Documents issued by such an entity should not be assumed to be official Miss Universe documents without independent verification.
Accordingly, MU East disputes the sufficiency and corporate authority of the authorization documents presented to PRTC. MU East respectfully asks PRTC and all parties connected with the 75th Miss Universe Pageant to verify any disputed authorization, contract, representation or payment instruction before relying upon it.
MU East further requests transparency from PRTC regarding the corporate approvals and authorization records relied upon in connection with the Event. This request is made to protect public funds, commercial partners and the integrity of the Pageant—not to disrupt, postpone or cancel it.
MU East has served formal legal notices and initiated the applicable dispute-resolution process concerning these matters. The contractual cure period and related proceedings remain ongoing. MU East will present its evidence through the appropriate legal channels and will respect the outcome of that process.
Our objective remains clear: to support a successful 75th Miss Universe Pageant conducted with transparency, proper authority and integrity.
